What is a Proxy?

A proxy is a person or entity authorised to act on behalf of a member at the CTA AGM. The proxy can vote on resolutions or participate in the meeting discussions as if they were the shareholder themselves.

The term can also refer to the proxy form, a document members use to appoint their proxy.

Purpose of a Proxy for AGMs

  • Facilitates Participation: Proxies allow members who cannot attend an AGM in person to still have their votes and opinions represented.
  • Ensures Quorum: By enabling remote participation through proxies, companies can more easily meet the quorum requirements necessary for conducting the meeting.
  • Representation of Interests: Members can appoint proxies they trust to act in their best interests, ensuring their voice is heard even if they are absent.
  • Flexibility for Shareholders: Members, particularly those with diverse business interests or who reside far from the meeting location, can ensure engagement without being physically present.
  • Efficient Decision-Making: Proxies enable efficient voting and decision-making by consolidating votes in a structured manner.

Types of Proxy Appointments

General Proxy: Allows the proxy to vote on behalf of the shareholder as they see fit, based on their own judgment.

Special Proxy: Restricts the proxy to vote in a specific way on particular resolutions, as instructed by the shareholder.

Proxy Process for AGMs

  1. Proxy Notice: Shareholders receive a notice with details about appointing a proxy, often included in the AGM documentation.
  2. Filing Proxy Forms: Shareholders complete and submit a proxy form, specifying their appointed proxy and instructions on voting.
  3. Submission Deadline: Proxy forms are usually required to be submitted before a specific deadline to be valid for the AGM.
